Terms and Conditions

User and Merchant Terms for the Tayeb Platform.

These Terms and Conditions ("Terms") govern access to and use of the Tayeb platform, including our mobile applications, website, Seller App, Merchant App, and related services (collectively, the "Platform"), operated by Tayeb Portal for Internet Services (Private Shareholding Company) ("Tayeb," "we," "us," or "our").

By accessing or using the Platform, you agree to be legally bound by these Terms. Please read them carefully together with our Privacy Policy and Personal Data Protection Notice, which form part of these Terms by reference.

01Nature of the Service

Tayeb operates strictly as a technology intermediary platform that facilitates connections between customers and independent restaurants, merchants, and delivery partners.

Accordingly:

  • Tayeb does not prepare food.
  • Tayeb does not own or operate restaurants.
  • Tayeb does not control food quality, ingredients, or preparation.
  • Tayeb does not operate delivery fleets.

All transactions are executed directly between the customer and the restaurant, with Tayeb acting only as a facilitator.

02Eligibility and Accounts

  • You must be at least 18 years old to register and place orders. Individuals under 18 may use the Platform only under the supervision and with the consent of a parent or legal guardian, who shall be legally responsible for all activity on the account.
  • All information you provide must be accurate, current, and complete.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • Tayeb reserves the right to suspend or terminate accounts at its sole discretion, including for breach of these Terms, fraud, or abuse.

03Orders and Contract Formation

  • An order placed through the Platform constitutes an offer to the restaurant.
  • The restaurant may accept or reject the order at its discretion, subject to availability and operational capacity.
  • A binding contract is formed only upon the restaurant's acceptance of the order.
  • Tayeb is not a party to the contract between the customer and the restaurant. Tayeb's role is limited to facilitating the order, payment, and delivery coordination.

04Pricing, Menus, and Taxes

  • Prices, items, descriptions, and availability are determined solely by the restaurants.
  • Tayeb aims to reflect accurate menu and pricing information but does not guarantee accuracy or completeness.
  • Restaurants are responsible for honoring displayed prices.
  • Prices displayed on the Platform include applicable Value Added Tax (VAT) and any other applicable taxes, unless explicitly stated otherwise. Restaurants are solely responsible for the proper invoicing, collection, and remittance of taxes to the relevant Jordanian authorities.
  • Delivery fees, service fees, and other charges are displayed before order confirmation.

05Payments and Wallet

Payment Methods

The Platform supports:

  • Cash on Delivery (COD)
  • Tayeb in app Wallet
  • Third party payment providers, including licensed card gateways and similar services

Tayeb does not store credit or debit card numbers. Only transaction references and statuses are retained, as further described in our Privacy Policy.

The Tayeb Wallet

  • The Wallet is an in app balance used to pay for orders and to receive refunds or credits.
  • Wallet credits issued by Tayeb (whether as refunds, promotional credits, or compensation) are not redeemable for cash unless required by applicable law.
  • Wallet balances do not earn interest.
  • Promotional credits may carry expiration dates and usage conditions, which will be communicated at the time of issuance.
  • If we detect fraud, abuse, or violation of these Terms, we may freeze, adjust, or revoke Wallet balances and pending credits.

06Cancellations, Refunds, and Credits

For Customers

  • Orders may be canceled only before restaurant acceptance, unless our operations team confirms otherwise.
  • Refunds are issued only in valid cases such as failed, incorrect, incomplete, or substantially delayed orders.
  • Refunds may be issued to the original payment method or to the Tayeb Wallet, at Tayeb's discretion and in line with applicable law.

For Restaurants

  • Any refund, compensation, or credit issued to a customer due to restaurant fault (including incorrect orders, late acceptance, food quality issues, or cancellation after acceptance) shall be deducted from the restaurant's wallet or settlement balance.

General

  • Tayeb may issue Wallet credits instead of cash refunds where appropriate and permitted by law.
  • Abuse of refund requests or chargeback mechanisms may result in account suspension, revocation of credits, and recovery of amounts due.

07Delivery and Fulfillment

  • Delivery is performed by independent third party logistics providers or directly by restaurants.
  • Delivery times displayed on the Platform are estimates only and are not guaranteed.
  • Customer and driver phone numbers may be masked through proxy numbers to protect privacy.
  • Tayeb is not liable for delays, damages, or delivery failures caused by restaurants, delivery partners, traffic, weather, or other factors outside Tayeb's reasonable control.

08User Conduct and Content

You agree not to:

  • Place fraudulent, fake, or repeated test orders
  • Abuse promotions, referrals, or credits
  • Harass, threaten, or abuse restaurants, drivers, or Tayeb staff
  • Attempt to manipulate pricing, ratings, or system behavior
  • Reverse engineer, scrape, or interfere with the Platform
  • Submit reviews or content that is false, defamatory, obscene, hateful, or unlawful

When you submit reviews, ratings, photos, or other content to the Platform, you grant Tayeb a non exclusive, worldwide, royalty free, perpetual license to use, reproduce, display, and adapt that content in connection with operating and promoting the Platform. You confirm that the content is yours to share and does not infringe third party rights.

Tayeb reserves the right to remove content and to suspend accounts that violate these Terms.

09Promotions, Discounts, and Referrals

  • Promotions, discount codes, and referral rewards are subject to the specific terms communicated at the time of the offer.
  • Promotions are personal, non transferable, and have no cash value.
  • Tayeb may modify, suspend, or end any promotion at any time without prior notice.
  • Use of multiple accounts, fake identities, or automated means to obtain promotional benefits is prohibited and may result in account suspension and recovery of amounts received.

10Restaurant and Merchant Obligations

Restaurants and other merchants using the Platform agree to:

  • Maintain accurate menus, pricing, descriptions, and availability.
  • Accept or reject orders promptly and operate within posted hours.
  • Fulfill orders exactly as received, with correct items and quantities.
  • Ensure food quality, food safety, hygiene, and full compliance with Jordanian regulations, including any licenses or permits required for their operations.
  • Maintain valid commercial registration and tax records.
  • Comply with the commercial terms set out in their separate Merchant Agreement with Tayeb, including commission rates, settlement terms, and operational requirements.

Restaurant Liability

  • Restaurants bear full responsibility for food preparation, packaging, quality, and safety.
  • Restaurants are liable for any damages, complaints, claims, or regulatory penalties arising from their service.
  • Restaurants shall indemnify Tayeb against any third party claims arising from their products or services.

11Merchant Wallet and Financial Adjustments

Tayeb reserves the right to:

  • Deduct amounts from restaurant balances for refunds, customer compensation, penalties, and chargebacks.
  • Offset any outstanding dues against future payouts.
  • Hold, delay, or reduce payouts in cases of disputes, suspected fraud, or pending investigation.
  • Adjust settlement frequency and minimum payout thresholds, as set out in the Merchant Agreement.

12Intellectual Property

All intellectual property rights in the Platform, including software, source code, designs, trademarks, logos, content, and the Tayeb brand, remain the exclusive property of Tayeb or its licensors.

You may not copy, modify, distribute, reverse engineer, or create derivative works of any part of the Platform without our prior written consent.

13Limitation of Liability and Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Tayeb disclaims all warranties, whether express or implied, including fitness for a particular purpose, merchantability, and non infringement.

To the maximum extent permitted by law, Tayeb shall not be liable for:

  • Food quality, safety, allergens, or preparation
  • Restaurant performance, accuracy, or availability
  • Delivery delays, damages, or failures
  • Acts or omissions of third party providers (payment, logistics, communications)
  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, data, goodwill, or opportunity

Where liability cannot be excluded under applicable law, Tayeb's total aggregate liability arising from these Terms is limited to the total amount paid by you to Tayeb in the three months preceding the event giving rise to the claim.

14Indemnification

You agree to indemnify, defend, and hold harmless Tayeb, its affiliates, officers, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms or any applicable law
  • Your use or misuse of the Platform
  • Content you submit to the Platform
  • For restaurants and merchants, your products, services, and operations

15Force Majeure

Tayeb shall not be liable for any failure or delay in the performance of its obligations under these Terms caused by events beyond its reasonable control, including but not limited to natural disasters, fires, floods, pandemics, epidemics, war, civil unrest, strikes, road closures, government actions, regulatory restrictions, telecommunications failures, power outages, and internet service disruptions.

16Suspension and Termination

Tayeb may suspend or terminate your access to the Platform at any time, with or without notice, in cases including:

  • Violation of these Terms
  • Fraud, abuse, or misuse of the Platform
  • Failure to pay outstanding amounts
  • Risk to other users, merchants, or Tayeb staff
  • Operational, regulatory, or legal reasons

You may close your account at any time by contacting [email protected]. Termination does not affect rights and obligations that accrued before termination.

17Amendments

Tayeb reserves the right to update these Terms at any time. Material changes will be communicated through the app, by email, or by notice on our website, along with a revised effective date. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

18General Provisions

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy, the Personal Data Protection Notice, the Merchant Agreement (where applicable), and any policies referenced in them, constitute the entire agreement between you and Tayeb regarding the Platform.

Assignment. You may not assign your rights or obligations under these Terms without Tayeb's prior written consent. Tayeb may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.

No Waiver. Tayeb's failure to enforce any provision shall not constitute a waiver of that or any other provision.

Notices. Tayeb may provide notices through the app, by email to the address on your account, or by posting them on the website. You are responsible for keeping your contact details up to date.

19Governing Law, Language, and Disputes

These Terms are governed by the laws of the Hashemite Kingdom of Jordan. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Amman, Jordan.

Language. These Terms are provided in both Arabic and English. In the event of any inconsistency or conflict between the two versions, the Arabic version shall prevail for purposes of interpretation and enforcement under Jordanian law.
